Semper Paratus Acquisition Corporation ("Semper Paratus") is a newly organized, special purpose acquisition company ("SPAC") incorporated as an exempted company in the Cayman Islands and formed for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses, which we refer to as its initial business combination. While Semper Paratus may pursue an initial business combination with a company in any business, industry, sector or geographic location, Semper Paratus currently intends to concentrate its efforts to pursue an acquisition opportunity in the transportation, supply chain and logistics industry in any stage of the target’s corporate evolution. Semper Paratus plans to capitalize on its management team’s extensive experience in its target sectors, along with their valuable networks of seasoned venture capital and private equity investors, veteran operational partners and others to identify these unique acquisition opportunities. Its management team has a distinguished history of accomplishments across a broad spectrum of subsectors within the transportation, supply chain, and logistics industry, growing businesses into industry-leading enterprises by structurally improving their strategic position, growth trajectory and profitability. Its board of directors also has a significant track record in its target sectors and expertise in corporate strategy, technological innovation and operational enhancement. Semper Paratus expects their knowledge will enhance the management team’s perspective as we evaluate potential initial business combinations and support the target’s management after completing an initial business combination, to the extent they remain on its board following the completion of its initial business combination.
