I is a newly organized blank check company incorporated on April 16, 2021 as a Cayman Islands exempted company for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses or entities, which company refers to throughout this prospectus as its initial business combination. To date, they efforts have been limited to organizational activities as well as activities related to this offering.
